This Warranty Statement applies only to Bishamon Industries Corporation ("Bishamon") products purchased from Bishamon or an authorized dealer and used within the U.S.A. and Canada, and constitutes an agreement allocating the risk of product failure between Bishamon and the purchaser, as reflected in the product's price. Bishamon warrants its products to be free from defects in material and workmanship for one (1) year from the date of delivery, covering both parts and labor, applying only to the original, non-transferable purchaser and only to original Bishamon-manufactured equipment; this warranty excludes defects caused by unsuitable installation environments, use for purposes other than intended, disasters such as fire, flood, wind, or lightning, unauthorized attachments or modifications, shipment damage, or any other abuse, misuse, accident, alteration, or unauthorized repair. Bishamon must receive written notice of any defect within the one-year period, after which it will, at its election, replace or repair the product at its facilities or through an authorized repair representative (unauthorized repair work is not covered), with replacement parts covered for the balance of the original warranty period and replaced parts becoming Bishamon's property; if shipment is required for warranty service, Bishamon will arrange pick-up and shipping and provide packing instructions, though it is not responsible for negligent or inappropriate packing by the user. For custom-built products made to user specifications, Bishamon additionally warrants conformance to those specifications, provided any nonconformity claims are made in writing within ten (10) days of delivery. To the extent allowed by law, these remedies are the user's sole and exclusive remedies, with no other express or implied warranties - including merchantability or fitness for a particular purpose - applying, though the user may have other rights varying by state or country; Bishamon will not be liable for special, incidental, or consequential damages of any kind (including lost profits, lost savings, loss of use, cost of capital, substitute equipment or services, downtime, third-party claims, or property damage) under any legal theory, and makes no warranty regarding compliance with federal, state, or local safety or product standard codes, with any such noncompliance not considered a warranty defect. This Warranty Statement represents the complete and exclusive agreement between the parties, superseding all prior communications including statements by salespersons, may only be modified in writing signed by a Bishamon officer, and is governed by California law, with any disputes to be brought exclusively in courts in San Bernardino County, California; any action for breach of warranty must be commenced within fifteen (15) months of the product's delivery.
